By downloading, installing, or using the Prometheus: Meeting Minutes application (also referred to as "Meeting Minutes Pro," "the App," or "the Service"), you agree to be bound by these Terms of Usage. If you do not agree to these terms, do not use the App.
The App is provided by Prometheus Technology Systems ("we," "us," or "our").
Meeting Minutes Pro is a mobile application that provides AI-powered meeting transcription and minute structuring. The App allows users to record meeting audio, transcribe recordings on-device, and (for eligible subscribers) use artificial intelligence to organize transcripts into formal, governance-compliant meeting minutes.
An account is required to use the App. You may create an account using an email address and password, or by using Sign in with Apple. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to provide accurate, current, and complete information during registration and to update your information as necessary to keep it accurate.
The App offers the following subscription tiers:
Payments are processed through the Apple App Store or Google Play Store. Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of the current billing period.
Prices are subject to change. We will provide notice of any price changes in accordance with the policies of the applicable app store.
AI-generated meeting minutes are provided as drafts and should be reviewed, edited, and verified by the user before any official use, distribution, or approval. The Service does not guarantee the accuracy, completeness, or correctness of AI-generated transcriptions or minute structuring.
You are solely responsible for reviewing and verifying the content of your meeting minutes before presenting them for approval, sharing them with others, or relying on them for any governance, legal, or business purpose.
AI structuring is powered by Anthropic's Claude API. AI outputs may contain errors, omissions, or misinterpretations of the original audio or transcript.
The App includes audio recording functionality. You are solely responsible for obtaining consent from all meeting participants before recording. Recording laws vary by jurisdiction — some require all-party consent, while others require only one-party consent. It is your responsibility to understand and comply with the recording and consent laws applicable in your jurisdiction.
Audio files are recorded and stored locally on your device. Audio is not transmitted to our servers unless you explicitly initiate AI transcription processing (Pro subscribers only).
Meeting data (including titles, dates, participants, agenda items, notes, motions, resolutions, and action items) is stored locally on your device in a SQLite database. When you are signed in, your meeting data is also synced to cloud storage (Google Firebase/Firestore) to enable cross-device access.
You may delete your account and all associated cloud data at any time through the App's Settings screen. Local data is removed when the App is uninstalled from your device.
Your content: You retain full ownership of all meeting content you create within the App, including recordings, transcripts, minutes, notes, and action items.
Our property: Prometheus Technology Systems retains ownership of the App, including its code, design, user interface, branding, documentation, and all related intellectual property. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the App.
You agree not to use the App to:
THE APP AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMETHEUS TECHNOLOGY SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless Prometheus Technology Systems, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another person or entity.
We reserve the right to suspend or terminate your account and access to the App at any time, with or without notice, if we reasonably believe you have violated these Terms of Usage or engaged in conduct that is harmful to other users, to us, or to third parties.
Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitations of liability, and indemnification.
We may update these Terms of Usage from time to time. When we make material changes, we will notify you through the App or via the email address associated with your account. Your continued use of the App after changes become effective constitutes acceptance of the updated terms.
These Terms of Usage are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
